You “THE CUSTOMER” AGREE TO BE BOUND BY THIS AGREEMENT AND ACCEPT THESE TERMS AND CONDITIONS.

This Agreement is a legal contract between the Customer and C’LIFE (a.k.a C’Life and CLIFE). The Customer accepts this Agreement by making a purchase on the Site. The terms and conditions of this Agreement are subject to change without prior notice, except that the terms and conditions posted on the Site at the time the Customer initially places or modifies an order will govern the order in question.

This Agreement, and all of its terms and conditions, constitutes a legal contract between the Customer and C’LIFE.  By visiting, browsing, shopping, accessing or otherwise using this Site, the Customer acknowledges that the Customer has read, understood, and agrees to be bound by this Agreement and complies with all applicable laws and regulations.

If the Customer does not agree with this Agreement, as it may be changed by C’LIFE from time to time, do not use this Site. The material provided on this Site is protected by law, including, but not limited to, Canadian copyright laws.


Deadlines

It is your sole responsibility to meet all deadlines regarding your continuing education (“CE”). You agree that C’LIFE is not responsible in any circumstances whatsoever if you miss a deadline or do not meet the CE requirements for your profession for any reason, including slow response times, technical problems, or anything else. C’LIFE cannot guarantee that we will be able to assist you in time if you experience a problem within seven days plus the time needed for course completion prior to your deadline. It is assumed that a full day of CE studies is seven hours. (Example, a 30-hour CE package = 4 days plus 2.9 hours of CE study plus 7 days = 11.29 hour limit on claim for assistance to acquire Certificate before deadline.)

Technical problems are unpredictable. C’LIFE strives to provide the necessary customer service and technical support to complete your purchase, course(s), course test(s), and certificate(s) on time, but cannot predict when a technical or other problem could interfere with your completion of your course(s). C’LIFE does not accept responsibility for meeting the Customer’s deadline due to technical problems.

You should ensure you receive your Certificate(s) at least five business days prior to your deadline.

Content
The opinions, information, and views expressed in each course are the responsibility of C’LIFE. C’LIFE and its affiliates, partners, and suppliers accept no liability for losses sustained as a result of content delivered or implied by information included on the website.

Limitations

Once payment has been received, the Customer will create a personal Login consisting of a username and password allowing access to each purchased course and test.

 

The course can be stopped, paused and started repeatedly once it is opened without affecting future access. Courses can be studied on screen or printed off. It is the Customer’s responsibility to ensure that he or she has read the course from start to finish. All registrants must pass with a mark of 60% or more an online test to receive their Certificate. The Certificate is supplied once Create My Certificate button has been pressed.

Certificate

The Certificate will be completed with information provided by the Customer when he or she Creates Account. It is not possible for the Certificate to be issued with the information of anyone but the Customer. It is the Customer’s responsibility to retain the Certificate and supporting documents, as required by the Customer’s home province provincial insurance regulator or accrediting body.

 

Copyright

C’LIFE grants the Customer limited license to access and make personal use of the Site. The Customer is prohibited from altering, copying, downloading (except for caching purposes), linking and modifying the Site content for the purposes of interfering with the content, operation or maintenance of the C’LIFE website. The Customer is granted a limited, revocable, and non-exclusive right to create a hyperlink to the home page of the Site as long as the link does not portray C’LIFE, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive matter. All C’LIFE graphics, logos and trademarks are the exclusive property of C’LIFE and may not be used without express written permission of C’LIFE. All material comprising the Site is under copyright or trademark by C’LIFE. Under no circumstances shall any of the material comprising the Site be copied, displayed, distributed, downloaded, posted, reproduced, republished or transmitted in any form or by any means. To obtain authorization to reuse any part of the site and any course content, please contact us at 905-731-4646 or toll-free at 1-855-711-4646. A breach of any of these restrictions will result in a denial of service to the Customer.

Refunds

C’LIFE will refund any purchase in its entirety during the 6-month access period providing the Certificate has not been issued. Once a Certificate is issued, no refunds will be given. Please call us at 905-731-4646 or toll-free at 1-855-711-4646 to process your refund request.
 A refund of purchase price is the limitation of liability accepted by C’LIFE, its speakers, affiliates, partners, and suppliers.

Account

The password created to access a course is confidential to the person registering for that course. That password must not be disclosed to others. Disclosure or transfer of that password to a third party will result in cancellation without refund of the initial Customer’s purchase.

Registration with C’LIFE is acknowledgement that the Customer accepts the Terms and Conditions described in this website.

Privacy

Registration details will not be shared by any means with any third party by C’LIFE. C’LIFE ascribes in its entirety to the Personal Information Protection and Electronic Documents Act.

C’LIFE collects information from the Customer to transact business only. C’LIFE does not release any information that is retained for transactional purposes to third parties.

The Customer’s Internet Protocol (IP) address is used for identification and verification purposes and to help C’LIFE diagnose problems that may arise with the Site or server. C’LIFE does not use Customer IP addresses for any other purpose.

The data that the Customer willingly provides to C’LIFE, such as Customer name, address, e-mail address and telephone number, is retained for announcements, contests, coupons, invitations, memberships, newsletters, rewards, special sales and discounts, if they should be offered or provided. C’LIFE also retains Customer names and contact data to help C’LIFE resolve business issues that may occur on occasion.

Security

C’LIFE relies on Stripe for payment processing. Stripe protects financial information with industry-leading security and fraud prevention systems.

C’LIFE is an encrypted Site and is transaction secure. All liability for Site security is the express responsibility of the Site encryption provider.

The Customer is responsible for maintaining the confidentiality of the Customer’s account and password. The Customer agrees to accept responsibility for all activities that occur under the Customer account or password.

Changes to Site

C’LIFE may, at its discretion, make changes to its website including course availability and pricing without notification.

Interruptions to Service
C’LIFE, like all website services, may experience an interruption to provision of its website beyond its control. Interruptions to service experienced by Customers due to technical problems with their website service provider will not be the responsibility of C’LIFE.

Disclaimer
Use of the C’LIFE website is at the risk of the Customer. C’LIFE makes no warranties that access to this website will be uninterrupted, secure, and free of errors. C’LIFE also accepts no responsibility for damage to a registrant’s computer or mobile device caused by the video files.

Termination of Service
C’LIFE reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its discretion.

Stated Limited Liability
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL C’LIFE BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA OR PROFIT, ARISING OUT OF THE USE, OR THE INABILITY TO USE, THE MATERIALS ON THIS SITE. IF CUSTOMER USE OF MATERIALS FROM THIS SITE RESULTS IN THE NEED FOR COMPUTER SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, THE CUSTOMER ASSUMES ANY COSTS THEREOF.

Other Disclaimers and Liabilities
C’LIFE reserves the right to undertake price changes, product representation, rectification of advertising errors, and any other similar situations. While every effort is made to keep the content of the Site accurate and current, C’LIFE does not warranty the accuracy of Site content; neither does it assume any liability or responsibility for errors or omissions regarding the content of the Site.

PLEASE NOTE THAT C’LIFE WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. C’LIFE WILL NOT BE LIABLE FOR PRODUCTS OR SERVICES BEING UNAVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE. THE CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES, C’LIFE IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY THE CUSTOMER FOR THE PURCHASE(S) UNDER THIS AGREEMENT.

Entire Agreement
This Agreement constitutes the entire agreement between the Customer and C’LIFE relating to the purchase or sale of goods or services on the Site. The Agreement may only be modified or terminated with regard to goods or services that have been purchased or sold on the Site in writing.  Valid electronic records and signatures shall be accepted under the Agreement. The Customer consents to receiving electronic records, which may be provided via a web browser or e-mail application connected to the Internet. In the event of any conflict between the terms and conditions stated on this Agreement or any terms and conditions on a C’LIFE-generated invoice, the Customer agrees that the provisions of this Agreement and the C’LIFE invoice shall prevail.

Governing Law
THIS AGREEMENT AND ALL SALES HEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE PROVINCE OF ONTARIO.
